2. Engagement and Quotations
2.1 Quotations
All quotations provided by Nexum-sol are valid for 30 days from the date of issue unless otherwise specified. Prices are quoted in Nigerian Naira (₦) unless otherwise stated.
2.2 Project Commencement
Work on any project will only commence upon:
- Written acceptance of the quotation (email confirmation is acceptable)
- Receipt of the agreed deposit payment
- Provision of necessary materials, content, and access by the client
3. Payment Terms
3.1 Deposit
Unless otherwise agreed in writing, a deposit of 50% of the total project cost is required before work commences.
3.2 Balance Payment
The remaining balance is due upon project completion, before final delivery or deployment of deliverables.
3.3 Recurring Services
For ongoing services (e.g., website maintenance, social media management), payment is due at the beginning of each billing period (monthly or as agreed).
3.4 Late Payments
Payments not received within 14 days of the due date may result in:
- Suspension of services
- Withholding of deliverables
- Termination of the project
3.5 Payment Methods
We accept payments via bank transfer to our designated Nigerian bank account. Details will be provided upon request or in the invoice.
4. Client Responsibilities
To ensure successful project delivery, the client agrees to:
- Provide accurate and complete information, content, and materials in a timely manner
- Respond to requests for feedback or approval within 5 business days
- Provide necessary access to hosting, domain, or third-party accounts as required
- Designate a single point of contact for communications
- Ensure all provided content does not infringe on third-party rights
Delays caused by the client's failure to meet these responsibilities may result in project timeline extensions and may incur additional charges.
5. Revisions and Changes
5.1 Included Revisions
Unless otherwise specified in the quotation, projects include up to two (2) rounds of revisions at each major milestone.
5.2 Additional Revisions
Additional revisions beyond the included rounds will be billed at our standard hourly rate or as a fixed fee agreed upon in advance.
5.3 Scope Changes
Requests for changes that significantly alter the project scope will require a revised quotation and may affect the timeline and cost.
6. Intellectual Property
6.1 Client Materials
The client retains ownership of all materials, content, logos, and assets provided to us for use in the project.
6.2 Deliverables
Upon receipt of full payment:
- The client receives full ownership of custom designs, code, and content created specifically for their project
- We retain the right to use generic, reusable components, frameworks, and tools
6.3 Portfolio Rights
We reserve the right to showcase completed work in our portfolio, website, and marketing materials unless the client requests otherwise in writing.
6.4 Third-Party Assets
Any third-party assets (stock images, fonts, plugins, etc.) used in the project remain subject to their respective licenses. The client is responsible for maintaining appropriate licenses if required.
7. Project Timeline and Delivery
7.1 Estimated Timelines
Project timelines provided are estimates based on the information available at the time of quotation. Actual timelines may vary based on project complexity, client responsiveness, and unforeseen circumstances.
7.2 Delays
We are not liable for delays caused by:
- Client's failure to provide materials, feedback, or approvals
- Changes to project scope
- Force majeure events (natural disasters, power outages, etc.)
- Third-party service provider issues
8. Warranties and Disclaimers
8.1 Service Warranty
We warrant that our services will be performed professionally and in accordance with industry standards. For website development projects, we provide a 30-day warranty period after launch to fix any bugs or issues arising from our work.
8.2 Disclaimers
We do not guarantee:
- Specific results, rankings, or business outcomes
- Uninterrupted or error-free operation of websites
- Compatibility with all browsers, devices, or future technologies
Our services are provided "as is" to the extent permitted by law.
9. Limitation of Liability
To the maximum extent permitted by law:
- Our total liability for any claim arising from our services shall not exceed the amount paid by the client for the specific service in question
- We shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities
10. Termination
10.1 Termination by Client
The client may terminate a project at any time by providing written notice. In such cases:
- The client is responsible for payment for all work completed up to the termination date
- Deposits are non-refundable unless otherwise agreed
10.2 Termination by Nexum-sol
We may terminate a project if:
- Payment is not received as agreed
- The client fails to provide necessary materials or feedback after reasonable requests
- The client engages in abusive or unprofessional conduct
- Continuing the project would require us to violate any law or ethical standard
11. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business strategies, technical specifications, and unpublished content. This obligation survives the termination of services.
12. Dispute Resolution
In the event of any dispute arising from these Terms or our services:
- Both parties agree to first attempt to resolve the matter amicably through good-faith negotiation
- If negotiation fails, disputes shall be resolved through arbitration or in the courts of Lagos State, Nigeria
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
